Definitions
* “Client” or “you” is the person (or persons) who purchases the Membership Package and/or the Web Presence Package (where more than one they are joint and severally liable)
* “Membership Package” is detailed at Schedule 1 of this agreement and includes the Services to be provided to the Client by Poppyfields Hub referred to as:
PoppyfieldsHub Lite
PoppyfieldsHub Business
PoppyfieldsHub Business Plus
“Web Presence Package “ is detailed at Schedule 1 of this agreement and includes the Services to be provided to the Client by Poppyfields Hub and Inbetween referred to as:
PoppyfieldsHub Web Presence.
* “Services” are provided as part of each Membership Package and the Web Presence Package and are detailed in Schedule 1
* “Poppyfields Hub“ or “we” are Poppylicious LTD trading as Poppyfields Hub, company number 12066319 and whose registered address is Poppyfields Retail Park, Poppyfields Drive, Snettisham, King’s Lynn, Norfolk, PE31 7FR
“Inbetween” is Inbetween Limited, company number 08364390, whose registered office address is 48 Castle Street Saffron Walden Essex, CB101BJ
1. Our agreement
1.1 These terms and conditions regulate the business relationship between you and Poppyfields Hub and Inbetween.
1.2 The Membership Package are provided to you by PoppyfieldsHub. The Web Presence Package is provided by Inbetween as a partner withPoppyfields Hub and subject to separate terms and conditions which can be read here https://www.inbetweencreative.co.uk The Services provided to you, the cost of the Services and what is included is set out in Schedule 1 of this agreement and set out on our website.
1.3 Before we can offer the Membership Package, the Web PresencePackage and any Services to you, we will require 2 forms of photographic and other ID and will ask our trusted third party providers to undertake background and credit checks on you and/or your business:
1.3.1 for SOLE TRADERS we require (1) photo identification – eg: passport, driving license or similar photo ID (non-expired) and (2) proof of address which must be dated within the last 3 months, and must show both your name and address.
1.3.2 For COMPANIES we require (1) a copy of your Certificate of Incorporation and (2) evidence of your Business operating address which must be dated within the last 3 months, and show both company name and address.
You will be asked to provide written confirmation of your consent to this checking in a separate document which shall form part of this agreement.
1.4 The agreement with you will last for one year from the start of the Services. Any continuation by you after the expiry of one year is a new monthly agreement terminable with 28 days’ notice. Your continued use of theServices after that initial 12-month term shall be deemed acceptance by you of these Membership Package, Web Presence Package and/or Services terms.
1.5 The agreement comes into existence when we receive the first annual payment from you for the Services.
1.6 We reserve the right to make changes to these terms from time to time, and we shall give you at least 28 days’ notice of any changes to these terms.
1.7 Prices for the Services will be reviewed annually.
2. Your account and personal information
2.1 Each party will keep the confidential information of the other party and any third party confidential and secret, and only use it for the purposes of supplying the Services or making proper use of the Services.
2.2 Each party recognises and accepts its obligations with regard to the control and the processing of personal data under the current data protection legislation and regulations. For more information on this, please see our Privacy Notice on our website at https://www.inbetweencreative.co.uk
2.3 We do share personal data between Poppyfields Hub and Inbetween in order to deliver the Services and to allow you to make use of the Services and for our other legitimate business interests.
3. Prices
3.1 The price payable for your Membership Package, Web Presence Package and/or the Services is clearly set out on our website and in Schedule 1.
3.2 We and Inbetween are registered for VAT, and the relevant VAT will be added in respect of the Services at the prevailing rate for time to time and as detailed on our price lists and invoices.
3.3 Payment shall be in advance by yearly for Services via online payment provider STRIPE. We will not hold any of your payment details as they will be kept by the online payment provider.
3.4 Where additional ad hoq services are purchased by you, such as meeting rooms, they shall be paid for in advance and are subject to separate terms and conditions.
3.5 You will pay all sums due under this agreement by the means specified without any set-off, deduction or counterclaim.
3.6 We shall be entitled to suspend the Services if any payment is not made on time, or in full, until such time as payments are brought up to date.
4. Disclaimers and limitation of liability
4.1 Poppyfields Hub and Inbetween will use reasonable care and skill in performing the Services. All implied conditions, warranties and terms are excluded from this agreement. If in any jurisdiction an implied condition, warrant or term cannot be excluded, then this sub paragraph shall be deemed to be reduced in effect, only to the extent necessary to release that specific condition, warranty or term.
4.2 Poppyfields Hub and Inbetween make no representation or warranty that the Services will be:
4.2.1 useful to you;
4.2.2 of satisfactory quality;
4.2.3 fit for a particular purpose;
4.2.4 available or accessible, without interruption, or without error.
4.3 Poppyfields Hub and Inbetween shall not be liable to you for any loss or expense arising out of or in connection with your use of our Services, which is indirect or consequential loss, or economic loss or other loss of turnover, profits, business or goodwill. This applies whether in an action of contract, negligence or otherwise, even if such loss was reasonably foreseeable or we knew you might incur it.
4.4 You agree that in any circumstances when Poppyfields Hub and/or Inbetween may become liable to you, the limit of liability is the amount you have paid to Poppyfields Hub and/or Inbetween in the immediately preceding 12 month period for the Services concerned.
4.5 Nothing in this agreement excludes or limits liability for a party's fraud, or causing any personal injury, or death.
5. Duration and termination
5.1 This agreement shall operate for a minimum period of 12 months. At the end of the initial 12 month period, you may terminate this agreement at any time with 28 days’ notice by sending notice to Poppyfields Hub by post or email.
5.2 Poppyfields Hub and/or Inbetween may terminate this agreement at any time, for any reason, with 28 days’ notice by sending you notice to that effect by post or email.
5.3 Termination by notice any party to this agreement means that your right to use the Services ceases at the end of the notice period;
5.4 In the event of such termination by Poppyfields Hub and/or Inbetween, we will within 14 days refund to you the balance of your subscription outstanding for any Services, pro rata with time not elapsed.
5.5 There shall be no re-imbursement or credit if the Services are terminated due to your breach of the terms of this agreement.
5.6 We retain the right, at our sole discretion, to terminate any and all parts of the Services provided to you, without refunding to you any fees paid if we decide in our absolute discretion that you have failed to comply with any of the terms of this agreement.
5.7 The Services may be also terminated if payment of the fees is not made in accordance with these terms, or if you commit a material breach of any of these terms and fail to remedy the breach within 14 days of being notified in writing, or if you enter into any form of insolvency arrangement, or suspend your business. Upon termination you shall immediately pay any outstanding sums due.
6. Interruption toServices
6.1 If it is necessary for us to interrupt the Services, we will give you reasonable notice where this is possible and when we think the down time is such as to justify telling you.
6.2 You acknowledge that theServices may also be interrupted for many reasons beyond our control.
6.3 You agree that Poppyfields Hub and Inbetween are not liable to you for any loss, foreseeable or not, arising from any interruption to the Services.
7. Indemnity
You agree to indemnify Poppyfields Hub and/or Inbetween against any loss, damage or liability, suffered by us at any time and arising out of:
7.1 any act, neglect or default of yours in connection with this agreement or your use of the Services;
7.2 your breach of this agreement;
7.3 your failure to comply with any law;
7.4 any contractual claim arising from your use of the Services.
8. Miscellaneous matters
8.1 Your acceptance of these terms and conditions is evidenced by completion of the tick box you have checked on the website when you agreed to purchase the Services, and your continued use of the Services.
8.2 If any term or provision of this agreement is at any time held by any jurisdiction to be void, invalid or unenforceable, then it shall be treated as changed or reduced, only to the extent minimally necessary to bring it within the laws of that jurisdiction and to prevent it from being void and it shall be binding in that changed or reduced form. Subject to that, each provision shall be interpreted as severable and shall not in any way affect any other of these terms.
8.3 Any obligation in this agreement intended to continue to have effect after termination or completion shall so continue.
8.4 No failure or delay by any party to exercise any right, power or remedy will operate as a waiver of it nor indicate any intention to reduce that or any other right in the future.
8.5 Nothing in these terms are intended to create a partnership or joint venture between you and us or Inbetween, and no party has the right to act as agent for the other or to bind the other party in any way.
8.6 Any communication to be served on either of the parties by the other shall be delivered by hand or sent by first class post or recorded delivery or by e-mail.
It shall be deemed to have been delivered:
if delivered by hand: on the day of delivery;
if sent by post to the correct address: within 72 hours of posting;
If sent by e-mail to the address from which the receiving party has last sent e-mail: within 24 hours if no notice of non-receipt has been received by the sender.
8.7 This agreement does not give any right to any third party under the Contracts (Rights of Third Parties) Act1999.
8.8 If we are limited or hindered from providing any facility or Services, booked by the Client due to circumstances beyond our control eg: government intervention, Acts of God, civil disturbance, war, national or local disaster, strikes, labour disputes, then the liability of to the Client shall not exceed the amount paid by theClient in respect of the Services in the preceding period of 12 months, and PoppyfieldsHub and or Inbetween will not be liable for any additional losses suffered by the Client as a result of such circumstances.
8.9 The validity, construction and performance of this agreement shall be governed by the laws of England andWales.

The entry will include: ‘About’ - to communicate key information about your business,
‘Services’ - to communicate and market your services
‘Contact’ – to display phone / email / social media information.
